Oman Virtual Office Rules and Options for New Companies
What Omani Law Says About a Company Address
Every company formed in Oman must have its head office inside the country. Article 12 of the Commercial Companies Law, Royal Decree 18/2019, says a company set up in the Sultanate must take the Sultanate as its head office. Article 240 says the founding contract of a limited liability company must state its main place of business. Article 16 adds that contracts, letters and public notices must show the company name, legal form and place of business.
The Commercial Register Law 3/74 makes that address a public record. Article 9 requires the register entry to include the head office address and the address of each branch. Article 10 gives you one month to record a change. Article 20 adds a sting: a fact you failed to register cannot be used against third parties. Articles 17 and 18 set a fine of OMR 25 to 200, doubled on repeat, for leaving the registration number and place off invoices and letters.
None of these articles mention a virtual office. They ask for a real place of business that can be written into the register and printed on your paperwork. That is the test any Oman virtual office has to pass.
What You Submit on the Oman Business Platform
Commercial registration runs through the Oman Business platform, which most people still call Invest Easy. The gov.om page for a new limited liability company, updated 2 July 2026, lists three documents: the articles of association, proof of identity for the partners and a no objection letter from the sponsor. The fees are OMR 40.200 to submit plus OMR 8.100 in admin fees. The stated service time is 30 minutes.
The platform issues the certificate at once, and you can trade the same day. Its staff then check the data and can suspend the register across every government system if it does not hold up. The portal menu includes Manage Places of Activities and Manage Lease Contracts, and the head office address is a field you can update later. The address you enter is expected to match a place the ministry can check.
A ministry article dated 25 December 2025 on tejarah.gov.om says it plainly. The company address must be specified, with a lease agreement for the premises or a letter proving the address attached. It also says that, as a general rule, every company needs a municipal licence for its premises. Our guide to getting and renewing a commercial registration in Oman covers the rest of the platform process.
Oman Virtual Office: What Official Pages Do and Do Not Say
No official page we opened says a virtual office address is accepted for registration. None says it is refused either. The ministry asks for a lease or an address letter, and the platform has a lease function built in. A serviced office provider can sign a lease with your company for a desk or a small room. Some providers issue an address letter for a mailbox-only plan. Whether an officer accepts a mailbox letter with no lease behind it is not written down anywhere.
So the careful reading is this. An Oman virtual office that comes with a registered lease for a real unit fits the published rules like any small office. A mail-forwarding address with no lease and no municipal licence rests on local practice, not on a rule you can cite. Ask the provider which of the two they sell, and ask for the lease registration receipt.
The Lease Contract and the 3 Percent Registration Fee
Oman's landlord and tenant law, Royal Decree 6/89, makes lease registration a legal duty. Article 2 puts the duty on the landlord, though the parties can agree that the tenant handles it. Article 4 sets a deadline of one month from signing. Miss it and the lease cannot be relied on before any official body in the Sultanate, and a fine of three times the fee applies. Article 7 lets the landlord seek eviction if the tenant uses the premises for a purpose other than the one in the contract. That matters if you register a company at a unit leased as a home.
In Muscat Governorate the gov.om service for registering a lease contract, updated 2 July 2026, charges 3 percent of the monthly rent and quotes one day. When the tenant is a company, the file needs the commercial registration and the signing rights papers. The landlord's side supplies the title deed and the cadastral drawing, known as the krooki. Muscat Municipality's e-services portal lists lease contracts and municipal licences under the same login.
A virtual office package only clears this step if the provider's contract with your company is registered as a lease or a sublease. A membership agreement or a monthly invoice is not a registered lease.
The Municipal Licence and the Shared Office
The ministry article says the municipality where the premises sit inspects them for health and technical standards before it issues the licence. The licence is renewed every year, and fees can reach hundreds of rials depending on the size of the activity. The platform lists 69 activities that need no licence from a sector regulator, but the premises licence is a separate matter.
A shared or serviced office can pass an inspection because there is a room, a sign and a fire exit to look at. A mailbox cannot be inspected. Where an activity needs a sector licence, the platform marks it License Pending until you upload the certificate through the Places of Activity service. Until then the activity sits on your certificate, but you may not practise it.
The Home Business Register for Omani Citizens
For an Omani citizen with a small service business, the cheapest lawful address is home. The gov.om home business register costs OMR 3 every three years plus an admin fee of OMR 0.600, and it becomes a full commercial register after nine years. The applicant must hold no other commercial register. The file needs the property papers and a no objection letter from the homeowner. That is the same logic as a lease: proof that a real place exists and that its owner agrees.
The platform's own FAQ says this House Trade Business form is for Omani individuals only. A foreign investor cannot route around the office question this way. Our article on how much it costs to set up a company in Oman compares the legal forms open to foreigners.
Free Zone Options When You Do Not Need a Muscat Office
If your customers are abroad, a free zone company may suit you better than a desk in the capital. The Public Authority for Special Economic Zones and Free Zones lists the Salalah Free Zone incentives as 100 percent foreign ownership, no minimum capital, no customs duties, and no tax on profits or dividends for 30 years. Land is taken through a usufruct agreement signed after the zone allocates a plot.
The Special Economic Zone at Duqm says all land in the zone is rented under a renewable usufruct contract, there is no minimum capital, and licences come from the zone authority itself. The ministry article puts the Duqm usufruct term at up to 50 years, renewable, with tax exemptions of up to 30 years.
The catch is that a free zone company's address is inside the zone, and the zone lease is part of the licence. It does not give you a mainland address, and an Oman virtual office in Muscat does not give you zone status. Our comparison of the Salalah, Sohar and Duqm free zones sets out which zone fits which activity.
What a Virtual Office Can and Cannot Do for a New Company
It can. Receive mail, answer calls in the company name, give you meeting rooms by the hour, and supply an address for letterheads and the bank file, if a registered lease sits behind it.
It cannot. Replace the head office rule in Article 12, pass a municipal inspection if there is nothing to inspect, or serve as the premises for a clinic, a workshop or a restaurant. It cannot stand in for the home business register for a non-Omani.
What it costs on the government side. OMR 48.300 for the company registration, 3 percent of monthly rent to register the lease in Muscat, and an annual municipal licence. The ministry article gives OMR 50 to 150 for a standard LLC including chamber membership and municipal fees, and OMR 200 to 300 in total for a small company. Provider fees for the desk or mailbox are private contracts, and no official page sets them.
How long it takes. The ministry article puts registration at one week to ten working days when every document is ready, and 7 to 14 days to obtain all permits where extra licences apply. Tax registration follows within 30 days of starting activity. Our company formation services in the Sultanate of Oman cover the filing, and our post company formation services cover the municipal licence and tax registration.
Frequently Asked Questions
Can a foreign investor register an LLC using only a virtual office address?
No official page confirms or rejects this. The ministry requires a lease agreement or a letter proving the address, and a municipal premises licence as a general rule. A serviced office with a registered lease in the company name meets both tests. A mailbox-only plan with no lease depends on local practice and may be refused.
Does the lease have to be registered before the commercial registration?
Royal Decree 6/89 gives one month from signing, and an unregistered lease cannot be relied on before any official body. Registering first avoids being asked for proof you cannot yet produce. In Muscat the fee is 3 percent of the monthly rent and the service quotes one day.
Can I use my home as the company address?
An Omani citizen with no other commercial register can use the home business register, at OMR 3 every three years plus OMR 0.600. A foreign investor cannot use that form, and a unit leased as a home is at risk under Article 7 of the tenancy law if used for business without the landlord's consent.
Is a free zone licence a way around the office requirement?
No. Zones such as Salalah and Duqm offer no minimum capital and tax exemptions of up to 30 years, but the company's address and lease are inside the zone, and the zone authority issues the licence.
